2026 EMTA Bylaws Revision

Bylaw Revision – vote scheduled for May 2026 General Meeting

The EMTA Board has completed a revision of EMTA’s bylaws to streamline language, modernize policies, and ensure compliance with current legal standards. Key Updates Include:

  • Clearer definitions of the roles and responsibilities of the President, Vice President, Secretary, and Treasurer.
Member-at-Large positions have been added to provide flexibility, including roles such as Webmaster and
    Communications.
  • Simplification of membership categories to a single Active Member classification.
  • Addition of limitation of directors’ liability and indemnification provisions.
  • Updated board meeting procedures, including the option for asynchronous online meetings when timely
    decisions are needed.
  • Inclusion of a Conflict of Interest policy.
  • Clarification of processes for registration, reinstatement, and termination of membership.

Members are encouraged to review the attached bylaws in advance (attached to this email). We will discuss the
revisions at the April meeting, and vote at the May general meeting.

Finally, please join me in thanking Jessi Martin for leading the way on our bylaws restructure. Her expertise and patience were much appreciated as she walked us through the revisions.
